Terms of Service

1. Acceptance

By accessing or using the Qubitry quantum computing platform (the "Platform"), you enter into a legally binding agreement with Faqtor Ltd, a company registered in England and Wales ("Faqtor Ltd", "we", "us"). The Platform is operated under the registered trade mark "Qubitry", which is owned by Faqtor Ltd. These Terms of Service (the "Terms") govern your use of the Platform. If you do not agree to these Terms, you may not use the Platform.

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. In that case, "you" and "your" refer to that organisation.

2. Service Description

The Platform provides quantum computing capabilities including:

  • AmpliGrid - distributed quantum simulation across GPU clusters
  • Quantum Machine Learning - natively implemented quantum ML models
  • Quantum Chemistry - computational chemistry modules including CASSCF, DMET, and ADAPT-VQE
  • Autonomous Discovery - automated drug discovery campaign orchestration
  • Software Development Kit - Python and Rust libraries for programmatic access

3. Eligibility and Registration

You must be at least 18 years old to use the Platform. You shall provide accurate, current, and complete information during the registration process and shall maintain the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

4. Acceptable Use

You may not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Reverse engineer, decompile, or disassemble any portion of the Platform
  • Distribute malware, viruses, or any other harmful code through the Platform
  • Submit content that infringes the intellectual property rights or privacy of any third party
  • Attempt to access another user's account or data without authorisation
  • Use the Platform to generate output that violates applicable law or these Terms
  • Interfere with or disrupt the integrity or performance of the Platform

5. Export Compliance

The Platform may be subject to export control and sanctions laws, including those of the United Kingdom, the United States, and the European Union. You shall comply with all applicable export control and sanctions laws and regulations. You represent and warrant that:

  • You are not located in, incorporated in, or a national of any country or region that is subject to a UK, US, or EU sanctions embargo
  • You will not use the Platform to process data or run computations that would violate applicable export control laws, including but not limited to the export of controlled cryptographic, quantum, or dual-use technologies
  • You will not submit User Content that is subject to export controls without first obtaining all necessary licences and authorisations

You are solely responsible for ensuring that your use of the Platform complies with all applicable export control and sanctions laws.

6. User Content

6.1 Ownership

You retain all right, title, and interest in and to any data, information, or material you submit to the Platform, including but not limited to quantum circuits, molecular structures, machine learning models, and configuration parameters ("User Content"). Nothing in these Terms transfers ownership of User Content to Faqtor Ltd.

6.2 Processing Limitation

Faqtor Ltd shall process User Content solely for the purpose of executing the computation you request. We shall not:

  • Use User Content to train or improve our machine learning models
  • Analyse or mine User Content for any purpose other than executing the requested computation
  • Share User Content with third parties except as necessary to perform the computation
  • Retain User Content after job completion except as described in Section 6.3

6.3 Data Retention

User Content is processed ephemerally and deleted automatically upon job completion. Metadata derived from User Content (including job runtimes and resource utilisation) may be retained in anonymised and aggregated form for platform improvement. You may request deletion of all your data by contacting support.

7. Intellectual Property

7.1 Platform Ownership

The Platform, including its software, documentation, underlying technology, and all related intellectual property rights, is owned by Faqtor Ltd and is protected by applicable intellectual property laws.

7.2 Trade Marks

"Qubitry", the Qubitry logo, "AmpliGrid", and any other product or service names, logos, or brands used in connection with the Platform are trade marks or registered trade marks of Faqtor Ltd in the United Kingdom and other jurisdictions. These Terms do not grant you any right to use Faqtor Ltd's trade marks, logos, or branding without our prior written consent. All use of Faqtor Ltd's trade marks shall inure to the benefit of Faqtor Ltd.

8. Fees and Payment

During the early access period, the Platform is provided free of charge. Faqtor Ltd reserves the right to introduce fees for Platform usage upon providing reasonable notice. If you continue to use the Platform after fee changes take effect, you agree to pay the applicable fees.

9. Confidentiality

Each party shall protect the other's confidential information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes account credentials, User Content, and any non-public business or technical information disclosed in connection with the Platform. This obligation shall survive termination of these Terms.

10. Service Level

During the early access period, the Platform is provided "as is" and "as available". Faqtor Ltd shall use reasonable efforts to maintain availability but does not guarantee uninterrupted or error-free operation. The Platform may be modified, suspended, or discontinued at any time without prior notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided without warranty of any kind, whether express, implied, statutory, or otherwise
  • Faqtor Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or your use of the Platform
  • Faqtor Ltd's total liability for any claim arising under these Terms shall not exceed the amount paid by you to Faqtor Ltd in the twelve months preceding the claim

12. Termination

Either party may terminate these Terms at any time by providing written notice. Upon termination, your access to the Platform shall cease. You may export your User Content before termination. Faqtor Ltd may delete your User Content thirty (30) days after termination unless required by law to retain it.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.

14. Changes to These Terms

We may update these Terms from time to time. Material changes shall be notified via email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
